This End-User License Agreement ("Agreement") is a legal agreement between you ("User", "you") and Resurgent Montreal Inc. ("Provider", "we", "us") governing your access to and use of the AP Payment Portal web application (the "Service"). By logging in to or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not access or use the Service.
The Service displays accounts-payable (A/P) information drawn from QuickBooks Online for the company or companies you are authorized to access, and lets you submit non-binding "payment advices" indicating which bills you wish to have paid and in what amounts. The Service is provided to you by the Provider in the Provider's capacity as the accounting service provider for the relevant company.
The Provider grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purpose of reviewing payables and submitting payment advices for the company or companies assigned to your account. You may not share your login credentials, sublicense, resell, or provide access to any third party.
A payment advice submitted through the Service is an instruction/request only and does not itself execute, schedule, or guarantee any payment. Amounts and balances shown may be indicative and may not reflect the actual, current balances in QuickBooks Online. Whether and when a payment is actually made is determined separately by the Provider and is not guaranteed by submission of an advice. The Provider may decline to act on any advice.
You are responsible for the accuracy of the selections and amounts you submit, for maintaining the confidentiality of your login credentials, and for all activity under your account. You agree to use the Service only for lawful purposes and only for companies you are authorized to act for.
The Service accesses data from QuickBooks Online via Intuit's authorized APIs under a connection established by the Provider. Intuit Inc. is not a party to this Agreement, provides no warranty in respect of the Service, and is not liable for the Service. "QuickBooks" and "Intuit" are trademarks of Intuit Inc.
Your use of the Service is also governed by our Privacy Policy, which describes what information we process and how. By using the Service you consent to that processing.
Financial information accessible through the Service is confidential. You agree not to disclose it to anyone other than persons within your organization with a need to know, and to handle it in accordance with applicable law.
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data shown is complete or current.
To the maximum extent permitted by law, the Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business, arising out of or relating to your use of (or inability to use) the Service, even if advised of the possibility of such damages. Nothing in this Agreement limits liability that cannot be limited by law.
We may suspend or terminate your access to the Service at any time, with or without notice. Upon termination, the license granted to you ends and you must stop using the Service.
We may update this Agreement from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Agreement.
This Agreement is governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
